Terms of Service

These are the rules of the road for using Tradesphone. They cover what we promise, what we don't, who's responsible for what, and what happens if something goes wrong. We've kept the lawyer-speak to a minimum.

01Summary in plain English

  • You sign up, we provide an AI receptionist that answers your business calls and texts. You pay us a monthly or annual subscription.
  • You’re responsible for the business you operate. We’re responsible for keeping the AI service running and handling your data the way our Privacy Policy says.
  • You agree not to use the service to spam people, defraud people, or break the law. If you do, we can cancel your account.
  • Trial is 14 days. You add a card up front; we don’t charge until day 15. You can cancel any time before then with no charge.
  • If you cancel, we keep your data for 30 days so you can come back, then we delete it.
  • Disputes are handled by arbitration in Delaware. You waive class actions. (Standard.)

02The agreement

These Terms of Service (the “Terms”) are a binding agreement between you (“you,” “your,” or “Customer”) and Ridgetech LLC, a Delaware limited liability company doing business as Tradesphone (“Tradesphone,” “we,” “us”). They govern your use of tradesphone.com, the Tradesphone dashboard, the Tradesphone API, and the AI telephony and SMS service (collectively, the “Service”).

By creating an account or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you don’t agree, don’t use the Service.

03Who can use Tradesphone

You can use the Service only if all of the following are true:

  • You are at least 18 years old.
  • You operate a legitimate business in the United States (we don’t support international customers in V1).
  • You have authority to bind the business named on the account to this agreement.
  • You are not on any U.S. sanctions list.
  • Your business is not in a category prohibited by U.S. wireless carriers for 10DLC SMS — including cannabis, illegal substances, prescription drugs, payday lending, debt collection, gambling, firearms or sweepstakes promotion. (If you’re unsure, ask us before signing up.)

04The service

We provide the infrastructure to answer your business calls and texts with an AI agent: a phone number, the AI itself, calendar integration, dashboard reporting, and related features. Specific features available at any time are described on our marketing site and in the dashboard.

We may improve, change, or remove features over time. We will not materially downgrade a feature you depend on without reasonable advance notice (in practice, 14 days for non-trivial changes).

05Your account

You are responsible for keeping your account credentials secure. You are responsible for all activity on your account, whether or not you authorized it. Notify us immediately at security@tradesphone.com if you suspect unauthorized access.

You agree to keep your business name, address, and billing information accurate and current. We rely on this information for tax compliance, SMS registration, and payment processing.

06Acceptable use

You agree not to use the Service to:

  • Send unsolicited bulk messages or place unsolicited bulk calls.
  • Harass, threaten, defraud, or impersonate any person.
  • Make claims to callers about who answered the phone that are knowingly false (for example, configuring the AI to deny that it is AI when directly and clearly asked).
  • Engage in any business activity that is illegal in your jurisdiction or violates wireless-carrier rules (see Section 3).
  • Probe, scan, test, or attempt to circumvent the security of the Service or any related system.
  • Use the Service to compete directly with Tradesphone or to build a substantially similar product.
  • Send synthetic or recorded voice content through the Service in violation of the Telephone Consumer Protection Act (TCPA) or applicable state robocall laws.

We may suspend or terminate accounts that violate these rules. We may also be required by carriers (Twilio, AT&T, Verizon, T-Mobile) to suspend accounts that trigger spam or fraud heuristics.

07Customer data and compliance

You retain ownership of the data your business generates through the Service — your leads, your bookings, your call transcripts, your customer phone numbers. We process this data on your behalf to provide the Service.

For the purposes of U.S. state privacy laws (including CCPA), you are the business with respect to your callers and customers, and Tradesphone is your service provider. We will only process your customer data to deliver the Service and as described in our Privacy Policy.

You are responsible for:

  • Maintaining a customer-facing privacy notice that complies with applicable law.
  • Obtaining whatever consents are required from your callers and customers before using the Service to record calls, send texts, or store personal information about them.
  • Honoring opt-out requests from your customers (we honor STOP/STOPALL automatically for SMS; for other channels, the responsibility is yours).
  • Complying with the laws and regulations that apply to your industry and your jurisdiction.

08Phone numbers

Phone numbers used by the Service are leased from Twilio. You don’t own these numbers; you have the right to use them while your subscription is active.

  • Porting in an existing number is not supported in V1.
  • Porting out a Tradesphone-provisioned number to another carrier is supported on request, subject to Twilio’s porting process and any fees Twilio charges. Contact support to start a port-out.
  • On cancellation, we hold your phone number for 30 days. If you don’t resubscribe or initiate a port-out within 30 days, the number is released back to the carrier pool and may be reassigned. We cannot guarantee its return after that.

09Subscriptions, trial, and billing

The Service is sold as a monthly or annual subscription at the prices listed on our pricing page. We collect a payment method via Stripe when you sign up.

  • Free trial: a 14-day trial begins when you provide a payment method. We do not charge the card until day 15. You may cancel from your dashboard at any time during the trial and the card will not be charged.
  • Renewal: subscriptions renew automatically at the end of each billing period until cancelled.
  • Price changes: we may change subscription prices on at least 30 days’ notice. Price changes take effect at your next renewal.
  • Failed payment: if your card is declined, we will retry. After 7 days of unresolved failed payments, the AI is paused until billing is up to date.
  • Taxes: prices do not include applicable sales taxes, which we will add at checkout where required.

10Refunds

We do not offer refunds for partial periods. If you cancel mid-month, the Service remains active until the end of the period you’ve paid for. We may issue discretionary refunds in cases of clear service failure on our end; email support and we’ll look at it.

11SMS compliance (10DLC and TCPA)

U.S. wireless carriers require all business text messaging to be registered through a process called 10DLC. Before any SMS can be sent on your behalf, you must complete the 10DLC registration step in onboarding, providing accurate information including your legal business name, EIN, business type, intended use case, and how you obtain customer consent.

You represent and warrant that the information you provide for 10DLC is accurate and that the consent process you describe is in fact what your business uses. We submit this information to Twilio and onward to the wireless carriers. Carrier approval is not guaranteed and is outside our control; we will work with you on resubmissions if your registration is initially rejected, but rejection is not a refundable event.

The TCPA also applies. You agree to:

  • Only text customers who have given you express consent to be contacted by text about appointments and service follow-ups.
  • Honor opt-out requests. The Service automatically opts a recipient out when they text STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT. We will not send further messages to a number that has opted out.
  • Not use the Service to send marketing or promotional text content unless you have obtained the heightened consent the TCPA requires for that.

12Call recording and disclosure

Call recording is configurable from Settings → Recording & transcripts and is off by default. When you enable recording:

  • We play an audible disclosure to every caller at the start of every call before the AI begins handling the call. This is intended to satisfy the two-party-consent recording laws of California, Illinois, Florida, Pennsylvania, Washington, Maryland, New Hampshire, Michigan, Oregon, Nevada, Connecticut, and Montana.
  • If you have Spanish language detection enabled, the disclosure plays in both English and Spanish.
  • You set the retention period (between 7 and 365 days). Recordings older than the retention period are automatically deleted.

You are responsible for ensuring that recording calls is permitted under the laws of the jurisdictions where your callers are located. The disclosure we play is intended to satisfy state-level two-party-consent requirements but is not a substitute for your own legal review. If you have any doubt, don’t enable recording.

13Intellectual property

We retain all right, title, and interest in the Service, including the software, the AI agent configurations, the dashboard, the brand, and any improvements we make. You retain all right, title, and interest in your customer data and your own business content.

You grant us a non-exclusive, worldwide license to use your data only to the extent necessary to provide the Service, generate the reports you see, and improve the product in the ways described in our Privacy Policy. We do not use your customer call recordings, transcripts, or SMS content to train AI models.

14Service availability

We aim for high availability but we do not offer a contractual uptime SLA in V1. The Service depends on third-party providers (Twilio, Retell, Stripe, Supabase, Anthropic, Deepgram, Cartesia, and others) and on the public phone network. Outages happen.

We will make commercially reasonable efforts to keep the Service running, to give notice of scheduled maintenance, and to investigate and resolve outages promptly. If this is unacceptable for your use case, please reach out before signing up.

15Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

AI agents can make mistakes — misunderstand a caller, mis-book an appointment, miss a detail. You agree that you will review bookings and follow up with your customers, and that you are not relying on the AI as your sole point of customer communication.

16Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST GOODWILL, OR LOST DATA, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) $100.

Some jurisdictions don’t allow the exclusion of certain damages, so portions of this section may not apply to you.

17Indemnification

You agree to defend, indemnify, and hold harmless Ridgetech LLC and its officers, employees, and agents from any third-party claim, loss, or expense (including reasonable legal fees) arising out of: (a) your use of the Service in violation of these Terms; (b) your violation of any law or third-party right (including TCPA violations and unauthorized call recording); (c) inaccurate information you provided for 10DLC; or (d) content you transmit through the Service.

18Termination

You may cancel any time from Settings → Billing. Cancellation takes effect at the end of your current billing period.

We may suspend or terminate your account immediately if you breach these Terms, if we’re required to by law, or if your account triggers carrier-level abuse or fraud thresholds. We will notify you and, when possible, allow a cure period.

On termination, we retain your data for 30 days to allow you to resubscribe or export, then we permanently delete it (except where retention is legally required).

19Disputes and arbitration

If you have a dispute with us, please email us first at support@tradesphone.com and give us 30 days to resolve it.

If we can’t resolve it informally, you and we agree to resolve any dispute arising out of these Terms through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be conducted in Wilmington, Delaware, unless we agree on another location.

Class-action waiver. You and we agree that disputes will be resolved on an individual basis only. Neither of us may bring or participate in a class action, collective action, or representative action.

The above does not prevent either party from seeking injunctive relief in a court of competent jurisdiction for intellectual-property or confidentiality matters.

20Governing law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. To the extent any matter is litigated in court (rather than arbitrated), the parties consent to the exclusive jurisdiction of the state and federal courts in New Castle County, Delaware.

21Changes to these terms

We may update these Terms from time to time. For material changes, we will notify you by email and post a notice in the dashboard at least 14 days before the change takes effect. Your continued use of the Service after the change becomes effective constitutes acceptance. If you don’t accept, your remedy is to cancel.
